01 Our Services

RiseOnX ("Company," "we," "us," "our") operates riseonx.com and provides website development and local SEO services exclusively for home service trades — including plumbers, HVAC technicians, electricians, roofers, locksmiths, restoration companies, and related local service businesses.

Our Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.). If your interactions would be subject to such laws, you may not use the Services. You may not use the Services in any way that would violate the Gramm-Leach-Bliley Act (GLBA).

The information provided is not intended for distribution to or use by any person in any jurisdiction where such distribution would be contrary to local law. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

02 Intellectual Property Rights

We own or license all intellectual property rights in our Services, including source code, databases, functionality, software, designs, text, photographs, and graphics (collectively, the "Content"), as well as trademarks, service marks, and logos (the "Marks").

Contributions

By posting any content to the Services ("Contributions"), you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide license to use, copy, reproduce, distribute, publish, broadcast, and exploit your Contributions for any purpose. You retain full ownership of your Contributions, but we may edit, redact, or remove them at any time without notice.

03 User Representations

By using the Services, you represent and warrant that:

1. All information you submit is true, accurate, current, and complete
2. You will maintain the accuracy of such information and update it as necessary
3. You have the legal capacity and agree to comply with these Terms
4. You are at least 18 years old and not a minor in your jurisdiction
5. You will not access the Services through automated or non-human means (bots, scripts, etc.)
6. You will not use the Services for any illegal or unauthorized purpose
7. Your use will not violate any applicable law or regulation

If you provide untrue, inaccurate, not current, or incomplete information, we have the right to suspend or terminate your account and refuse any current or future use of the Services.

04 Purchases & Payment

We accept the following forms of payment:

• Visa, Mastercard, American Express, Discover
• PayPal
• Stripe (primary processor)

You agree to provide current, complete, and accurate purchase and account information. You further agree to promptly update account and payment information, including email address and payment method expiration date, so we can complete transactions and contact you as needed.

All payments are in US dollars. Sales tax will be added as required by law. We reserve the right to change prices at any time. We reserve the right to correct any errors in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order, limit quantities purchased per person, household, or order, and prohibit orders that appear to be placed by dealers, resellers, or distributors.

05 Subscriptions

Billing & Renewal

Local SEO services are billed monthly via automatic recurring charges to your chosen payment method. Your subscription renews automatically on the same date each month unless cancelled.

Cancellation

You can cancel your subscription at any time by contacting us. Your cancellation takes effect at the end of the current paid term. There are no cancellation fees.

Fee Changes

We may make changes to subscription fees and will communicate any price changes to you in accordance with applicable law.

06 Refund Policy

Please review our full Refund Policy prior to making any purchases. Summary:

Website Development ($499 one-time)

• Before work starts: Full refund within 7 days, no questions asked
• After design approved: 50% refund (work completed)
• After site delivered: No refund, but 30 days of free fixes for bugs

Local SEO (Monthly)

• Cancel anytime — email or WhatsApp us
• Prorated refund for unused days
• No cancellation fees, no questions asked

We process all refunds within 5-7 business days to your original payment method.

07 Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to:

• Systematically retrieve data to create compilations or databases without permission
• Trick, defraud, or mislead us or other users
• Circumvent, disable, or interfere with security-related features
• Disparage, tarnish, or harm us or the Services
• Use information to harass, abuse, or harm another person
• Upload viruses, Trojan horses, or other malicious material
• Engage in automated use (scripts, bots, data mining)
• Delete copyright or proprietary rights notices from Content
• Impersonate another user or person
• Use the Services to compete with us or for revenue-generating endeavors
• Advertise or offer to sell goods and services without authorization

08 User Generated Content

The Services may allow you to create, submit, post, display, or transmit content ("Contributions"). By making Contributions, you represent and warrant that:

• Your Contributions do not infringe any third-party proprietary rights
• You have necessary licenses, rights, and permissions
• Your Contributions are not false, inaccurate, or misleading
• Your Contributions are not unsolicited advertising or spam
• Your Contributions are not obscene, violent, harassing, or discriminatory
• Your Contributions do not violate any applicable law

Any use of the Services in violation of the foregoing may result in termination or suspension of your rights.

09 Service Management

We reserve the right, but not the obligation, to:

• Monitor the Services for violations of these Terms
• Take appropriate legal action against violators
• Refuse, restrict, limit, or disable access to any Contributions
• Remove files and content excessive in size or burdensome to our systems
• Manage the Services to protect our rights and facilitate proper functioning

10 Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms.

The Services are hosted securely. If you access the Services from any region with data collection laws different from our hosting jurisdiction, your continued use constitutes consent to transfer and process your data in accordance with our Privacy Policy.

11 Term & Termination

These Terms remain in full force while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason, including breach of these Terms or applicable law.

If we terminate or suspend your account, you are prohibited from creating a new account under your name, a fake name, or any third party's name. We also reserve the right to take appropriate legal action.

12 Dispute Resolution

Informal Negotiations

To expedite resolution, the Parties agree to first attempt to negotiate any dispute informally for at least 90 days before initiating arbitration. Informal negotiations commence upon written notice from one Party to the other.

Binding Arbitration

If informal negotiations fail, the dispute will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration may be conducted in person, through documents, by phone, or online.

YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

Exceptions

The following disputes are not subject to arbitration: (a) disputes seeking to enforce intellectual property rights; (b) disputes related to theft, piracy, or invasion of privacy; and (c) claims for injunctive relief.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

13 Limitations of Liability

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES.

Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and change or update information at any time without prior notice.

Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to your use of the Services, your Contributions, or your breach of these Terms.
